Topic: Fundamentals and Key Considerations for the 2018 Proxy Season Speakers: Shaun Bisman, Principal, and Lauren Peek, Principal, Compensation Advisory Partners
Bisman and Peek discussed key developments in CEO pay ratio disclosure, the impact of tax cuts on the job market, shareholder proposals and policy updates from ISS and Glass Lewis.
They also discussed section 162M of the tax code which focuses on the deductibility of executive compensation with a CEO salary whereas >$1M is no longer tax deductible. They reviewed recent corporate activities as a result of this critical change including:
– Raising salaries to rank/file employees
– Increasing 401K match
– Providing a one-time bonus to non-executives
– Increasing charitable contributions
– Renewing a commitment to training
